Numinus Wellness Sells Clinics, Partners with Stella to Expand Mental Health Solutions

Numinus Wellness Inc. has announced the sale of its five U.S. wellness clinics to Stella MSO LLC for $3.53 million. The partnership aims to transform mental health care delivery with cutting-edge technological solutions. The move is a strategic pivot for Numinus, enabling it to focus on creating efficient, scalable solutions for mental health care providers nationwide.

Transforming Mental Health with Data and Technology

The sale includes a collaboration between Numinus and Stella that promises to leverage data-driven insights. Stella, which operates 12 clinics across the U.S., will share operational data to help Numinus develop a software solution aimed at improving clinic management. This system will focus on optimizing operations, enhancing patient outcomes, and simplifying insurance reimbursements for mental health practitioners.

Numinus, which has served over 50,000 individuals and facilitated over 250,000 insurance claims, plans to use this wealth of experience to design a software-as-a-service (SaaS) platform. This platform will address key operational pain points for mental health providers and is expected to tap into a market of more than 200,000 practitioners in the U.S.

Financial and Operational Benefits of the Sale

The financial structure of the sale underlines its strategic significance:

  • Immediate Payment: Numinus received $2.08 million at closing.
  • Deferred Compensation: $750,000 will be paid in six equal installments in 2025.
  • Performance-Based Earnings: An additional $700,000 may be earned in 2025, contingent on specific outcomes.

This asset-light approach aligns with Numinus’ broader business goals, enabling the company to redirect resources toward its SaaS platform, research initiatives, and practitioner training programs.

Strengthening the Practitioner Ecosystem

Numinus has been actively developing services and programs to support mental health practitioners. Two major components of this strategy are Cedar Clinical Research and the practitioner training program.

Cedar Clinical Research is a trusted partner for drug development firms, supporting 24 clinical trials involving nearly 1,100 patients this year. It also plays a significant role in advancing research for psychedelic-assisted therapies, a growing focus within the mental health field.

The practitioner training program, accredited by leading regulatory bodies, provides comprehensive education on clinical care and emerging therapies. Since May 2024, nearly 2,000 learners from 18 countries have enrolled, demonstrating the program’s global appeal.
